Procore to Acquire DroneDeploy in $845 Million Deal to Accelerate AI-Powered Construction Management

Procore Technologies, Inc., a leading global provider of construction management software, has announced a definitive agreement to acquire DroneDeploy, Inc., a robotics and visual intelligence company serving the construction and infrastructure sectors, in a transaction valued at approximately $845 million in cash, subject to customary purchase price adjustments.

The acquisition represents a major step in Procore’s strategy to expand artificial intelligence capabilities across its construction management platform by combining project management data with advanced reality capture technologies. Once completed, the deal will unite two technology providers that specialize in digital construction workflows, enabling customers to capture, analyze, and act on real-time information from jobsites more efficiently.

DroneDeploy has established itself as a global leader in reality capture and robotic automation, with its technology deployed across more than 3 million jobsites in over 180 countries. The company’s platform uses drones, robots, cameras, and other imaging technologies to create detailed digital representations of construction sites and operational assets, giving project teams continuous visibility into field conditions.

Procore believes integrating DroneDeploy’s capabilities into its platform will create a new generation of intelligent construction software capable of not only documenting project activity but also understanding what is happening on site and automatically recommending or initiating appropriate actions.

Advancing Construction Intelligence Through AI

Construction projects generate enormous volumes of information every day, ranging from schedules and drawings to inspections, requests for information (RFIs), and daily field observations. While project teams increasingly rely on digital tools to manage this data, much of the physical activity occurring on jobsites still requires manual inspections and documentation.

He explained that the combined technologies will accelerate the company’s artificial intelligence roadmap by enabling the development of digital assistants capable of continuously monitoring project activity, interpreting field conditions, and taking meaningful actions that improve project outcomes.

DroneDeploy Sees Greater Integration Opportunities

DroneDeploy Chief Executive Officer Mike Winn said the company was founded with the goal of providing organizations responsible for building and maintaining critical infrastructure with a reliable digital representation of physical jobsites.

Over the past decade, customers consistently expressed the need for reality capture technology to become an integrated part of everyday construction workflows rather than functioning as a separate software solution.

According to Winn, joining Procore enables DroneDeploy to advance that vision much more rapidly.

The company plans to continue delivering advanced aerial and ground-based reality capture technologies while integrating them more deeply into Procore’s construction management ecosystem. At the same time, DroneDeploy expects to build upon its existing investments in artificial intelligence and robotics to deliver increasingly automated construction workflows.

Reducing Manual Inspections Through Automation

One of the most significant advantages of combining the two platforms involves reducing the amount of manual work required to monitor construction projects.

Today, project teams spend considerable time walking jobsites, documenting progress, recording safety observations, identifying quality issues, and preparing reports.

The combined platform seeks to automate much of this process through continuous monitoring using multiple technologies.

Drones can perform scheduled aerial inspections, robotic systems can capture detailed imagery from ground level, and fixed or wearable cameras can document daily activity throughout the construction process.

Artificial intelligence then analyzes this visual information, compares it with project plans and schedules, detects deviations, and automatically generates observations or initiates corrective workflows where necessary.

This capability becomes particularly valuable as the construction industry continues facing significant labor shortages, allowing project teams to spend less time on repetitive administrative tasks while focusing more attention on high-value decision-making.

Combining Massive Construction Data Resources

The acquisition also brings together two of the industry’s largest collections of construction-specific data.

Over the past year alone, Procore’s platform processed nearly:

  • 400 million project photos
  • 126 million construction drawings
  • More than 10 million RFIs, inspections, and submittals

These records provide extensive insight into how construction projects are planned, managed, and completed.

DroneDeploy contributes an equally significant dataset focused on physical jobsite conditions.

Its platform has captured approximately 20 trillion square feet of visual data across the built environment while accumulating tens of millions of user-generated annotations and documenting more than 100,000 labeled safety issues.

Combining these complementary datasets gives artificial intelligence access to both digital project records and real-world visual observations, significantly improving its ability to understand construction activities and generate meaningful recommendations.

Building Digital Coworkers for Construction

Looking ahead, Procore envisions creating intelligent digital coworkers capable of supporting both field personnel and office-based project teams.

These AI-powered assistants would combine three essential capabilities: continuous perception through visual monitoring, advanced reasoning powered by artificial intelligence, and secure execution within Procore’s collaborative construction management platform.

Rather than simply generating reports, these digital coworkers could automatically recognize project milestones, monitor safety compliance, identify construction defects, notify relevant stakeholders, initiate corrective actions, and document project progress with minimal manual intervention.

By automating many routine tasks, Procore believes construction organizations will be able to improve productivity, reduce project risks, save time, and lower operational costs.

Transaction Expected to Close Later This Year

The acquisition is expected to close later this year, subject to customary closing conditions, including the receipt of required regulatory approvals.

Procore noted that its previously issued financial outlook reflects only its existing business operations and does not include any anticipated financial contribution from DroneDeploy following the transaction.

The acquisition is being supported by leading financial advisors. Goldman Sachs & Co. LLC is serving as Procore’s exclusive financial advisor, while Citi is acting as financial advisor to DroneDeploy.

If completed as planned, the transaction will strengthen Procore’s position as a leading provider of intelligent construction technology by combining project management software, reality capture, robotics, and artificial intelligence into a unified platform.
