
Kontrol Technologies Unveils BuildX AI and Secures Loan Deal
Kontrol Technologies Corp. (CBOE.CA: KNR) (OTCQB: KNRLF) (FSE: 1K8), a leading Canadian technology company specializing in smart buildings and sustainable infrastructure, has announced the launch of its new BuildX AI platform, aimed at modernizing HVAC and building systems for commercial and industrial customers. Alongside this launch, the Company also provided a corporate update and disclosed a loan agreement with its CEO.

Kontrol Technologies currently serves over 400 commercial and industrial buildings across North America with advanced HVAC solutions and energy management services. Its new BuildX AI platform marks a significant milestone in the Company’s innovation journey, bringing artificial intelligence and IoT-driven analytics into the core of building operations.
Unlike traditional building management systems that emphasize routine maintenance and equipment replacements, BuildX AI is designed to offer deep integration of data, advanced diagnostics, and actionable insights that optimize both operations and capital planning. By bridging the gap between legacy systems and next-generation technologies, BuildX AI seeks to unlock substantial efficiencies for asset managers, facility operators, and property owners.

Related Party Loan Agreement
In a separate announcement, the Company disclosed that on May 2, 2025, it entered into a loan agreement with its CEO, Paul Ghezzi. Under the agreement, Kontrol will loan Ghezzi a principal amount of $680,000, repayable within one year. The loan will carry interest at the Canada Revenue Agency’s (CRA) prescribed rate and is structured under standard commercial terms.
Importantly, this transaction qualifies as a “related party transaction” under Multilateral Instrument 61-101 – Protection of Minority Security Holders in Special Transactions (MI 61-101). However, it is exempt from the formal valuation and minority shareholder approval requirements of the regulation because the total loan amount represents less than 25% of the Company’s market capitalization.
To ensure sound governance practices, the loan was unanimously approved by all independent directors of the Company, with Ghezzi abstaining from the vote due to his personal involvement in the transaction.
Kontrol stated that the loan arrangement complies with legal and ethical standards, and was put in place following proper disclosure and board review procedures.
