VINCI to Acquire Majority Stake in Indian Highway Concession

Acquisition of 51% of the shares of the concession company of the SH1 motorway near Hyderabad
Concession with a residual term of 16 years for the operation of 206 km of motorway
Finalization expected by the end of 2024

VINCI Highways, a subsidiary of VINCI Concessions, has signed an agreement to acquire HKR Roadways Limited, which holds a concession contract with the Telangana State Government for the SH1 motorway, set to run until 2041. VINCI Highways will invest approximately €40 million in the deal upon financial closing.

The SH1 motorway, in operation since 2014, is a vital 206 km route in Telangana, connecting the state capital Hyderabad (population 11 million) to its northeastern regions.

This acquisition is a joint effort with Global Infrastructure Partners (GIP) – Emerging Markets, with VINCI Highways and GIP holding 51% and 49% stakes in the concession, respectively. The transaction, pending regulatory approval, is expected to be completed by the end of 2024.

The deal strengthens VINCI’s strategic partnership with GIP, which began when VINCI Airports acquired majority stakes in London Gatwick Airport in 2019 and Edinburgh Airport in 2024.

VINCI Highways is already present in India through its subsidiary ViaPlus, specializing in electronic toll systems, employing nearly 400 people in Hyderabad.
